Terms of Service

1. Acceptance of Terms
These Terms of Service ("Terms") govern your access to and use of the XpressManage field service management platform and related services (the "Service"), operated by XpressBase Inc ("we," "us," or "our"). By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
2. The Service
XpressManage provides software that helps service businesses manage clients, jobs, scheduling, estimates, invoices, payments, and customer communications (including SMS and email). Service businesses ("Subscribers") use the platform to operate their business and to communicate with their own customers. Where you are a customer of a Subscriber, your relationship for the underlying services is with that Subscriber, not with us.
3. Accounts & Eligibility
You must provide accurate information when creating an account and keep it up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You must be at least 18 years old and authorized to act on behalf of the business you register. Notify us promptly of any unauthorized use of your account.
4. SMS & Messaging Terms
The Service enables Subscribers to send service-related text messages to their own customers who have opted in. Message types include appointment reminders, technician en-route alerts, job updates, estimates, invoices, and payment confirmations.
- Consent: Messages are sent only to recipients who have provided consent. Consent is not a condition of purchasing any goods or services.
- Frequency: Message frequency varies based on service activity (typically 1–5 messages per service interaction).
- Rates: Message and data rates may apply. Check with your wireless carrier for details.
- Opt-out: Reply STOP to any message to opt out at any time; reply HELP for help.
Each Subscriber registers as its own carrier-recognized sender, sends under its own name, and is responsible for obtaining and documenting the consent of its own customers and for complying with all applicable messaging laws and carrier requirements (including the TCPA and CTIA guidelines). 5. Acceptable Use
You agree not to use the Service to:
- Send unsolicited, unlawful, misleading, or harassing messages
- Send messages to recipients who have not consented or who have opted out
- Violate any applicable law, regulation, or third-party rights
- Transmit malware, or attempt to disrupt, reverse-engineer, or gain unauthorized access to the Service
- Resell or provide the Service to third parties except as expressly permitted
We may suspend or terminate access that violates these Terms or that creates risk or legal exposure for us, other users, or carriers.
6. Fees & Billing
Paid plans are billed on a recurring subscription basis at the rates shown at signup. Fees are charged in advance and are non-refundable except where required by law. We may change plan pricing on notice; continued use after a change takes effect constitutes acceptance. You are responsible for any taxes and for charges incurred through your account, including third-party processing fees.
Usage allowances & fair use. Plans include unlimited user seats for the staff of your own business. Automated communication features (such as SMS notifications and the AI phone receptionist) include generous usage allowances as described on the applicable plan or add-on; usage beyond a stated allowance may be billed at the published per-unit rate. All usage-based features are subject to fair use: they are provided for the ordinary operations of a single service business, and we may throttle, cap, or suspend usage patterns consistent with abuse, resale, bulk or marketing blasts, or call-center-scale traffic after notice where practicable.
7. Customer Data
As a Subscriber, you retain ownership of the data you and your customers provide ("Customer Data"). You grant us a limited license to host and process Customer Data solely to provide and improve the Service. You are responsible for the accuracy of Customer Data and for having the rights and consents necessary to provide it to us. We handle Customer Data as described in our Privacy Policy.
8. Third-Party Services
The Service integrates with third-party providers (for example, Telnyx for messaging and telephony, Stripe for payments, and mapping providers). Your use of those features is also subject to the respective provider's terms. We are not responsible for the acts or omissions of third-party providers.
9. Disclaimers & Limitation of Liability
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, to the fullest extent permitted by law. We do not warrant that the Service will be uninterrupted, error-free, or that messages will always be delivered (delivery depends on carriers and other factors outside our control). To the maximum extent permitted by law, our aggregate liability arising out of or relating to the Service will not exceed the amounts you paid to us for the Service in the twelve months preceding the claim.
10. Termination
You may stop using the Service at any time. We may suspend or terminate your access for violation of these Terms, non-payment, or where required to protect the Service or comply with law. Upon termination, your right to use the Service ends; provisions that by their nature should survive (including fees owed, disclaimers, and limitations of liability) will survive.
11. Changes to These Terms
We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. Material changes will be communicated through the Service or by email. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
